EZExecute Terms and Conditions

Important Notice
Plain-language summary: EZExecute is a technology platform for document workflows, evidence capture, and digital execution. It is not a law firm and does not guarantee that every document or every signature method is legally sufficient for every purpose.
By accessing or using EZExecute, you agree to these Terms and Conditions. If you use EZExecute for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Scope of Services
Plain-language summary: EZExecute provides software and related services, not legal advice or universal legal validation.
EZExecute provides website, app, API, and related software services for document preparation, workflow management, electronic execution, identity verification orchestration, evidence capture, audit trails, storage, retrieval, completion records, and related support services.
Unless expressly stated in a signed order form, EZExecute does not act as your advocate, legal adviser, notary, certifying authority, escrow agent, trustee, public authority, or regulated financial intermediary. You are solely responsible for deciding whether a document or transaction may lawfully be executed electronically and whether additional formalities apply, including witnesses, notarisation, apostille, filing, registration, or stamp duty.
Eligibility and Authority
Plain-language summary: Only legally capable users with authority to act may use the service.
You may use EZExecute only if you are at least eighteen years old, are legally capable of entering into binding arrangements, and are not prohibited by applicable law from using the Services. If you act for a company, partnership, trust, fund, or other person, you represent that you have full authority to bind that party.
Account Registration and Security
Plain-language summary: You own credential risk, and EZExecute may rely on authenticated activity.
You must provide accurate and current registration information and keep it updated. You are responsible for maintaining the confidentiality of your credentials, devices, access tokens, multifactor authenticators, and workspace permissions. EZExecute may treat activity taken through a validly authenticated session, account, or integration as authorized by you unless and until you have given written notice of compromise and EZExecute has had a reasonable opportunity to act on it.
EZExecute may require multifactor authentication, re-authentication, identity checks, or additional security controls at any time.
Customer Content and Authority to Sign
Plain-language summary: You, not EZExecute, are responsible for the legality and use of documents and signers.
You are solely responsible for all documents, templates, content, data, signer details, witness details, instructions, and workflow settings that you upload to, create on, or route through EZExecute. You represent and warrant that:
- you have all rights, permissions, notices, and consents necessary to use that content through EZExecute;
- the content and underlying transaction are lawful;
- each person you designate to sign, approve, receive, or witness has the capacity and authority to do so; and
- your use of EZExecute does not infringe any third-party rights or applicable law.
EZExecute may rely on the information you configure without independently verifying its legal sufficiency.
Identity Verification, KYC, and Anti-Fraud Controls
Plain-language summary: EZExecute can require verification and refuse suspicious workflows.
EZExecute may require, directly or through third-party providers, any identity, KYC, KYB, fraud, liveness, sanctions, device, or business-verification step that it reasonably considers necessary for security, service integrity, legal compliance, or risk management. You authorize EZExecute and its providers to collect, receive, compare, and store the results and metadata of those checks to the extent permitted by law.
EZExecute may refuse, pause, or cancel any workflow or account if identity, authority, payment status, legal permissibility, or security concerns are not resolved to EZExecute's reasonable satisfaction.
Electronic Signatures and Legal Effect
Plain-language summary: EZExecute can offer several signature methods, but you must choose methods suitable for your document type and legal context.
EZExecute may facilitate click acceptance, typed-name assent, signature images, drawn signatures, OTP-based flows, certificate-based signatures, digital signatures, e-KYC based signature flows, and other electronic execution methods made available from time to time.
You acknowledge that:
- some documents or transactions may be excluded from electronic execution under applicable law;
- some documents may require a particular signature form, certificate type, witness process, stamp duty, or registration step; and
- EZExecute does not guarantee that any specific method is legally effective for every document, regulator, tribunal, or jurisdiction.
Audit Trails, Completion Records, and Retention
Plain-language summary: EZExecute may create evidence records, but you must export what you need.
EZExecute may generate and maintain logs, access records, workflow histories, timestamps, IP data, device data, verification references, communications records, completion reports, evidence packs, certificate references, and other metadata relating to your use of the Services.
Unless a longer period is expressly agreed or required by law, EZExecute may retain these records for the period it reasonably determines necessary for operations, legal compliance, dispute resolution, fraud prevention, internal analytics, and backup integrity, and may thereafter delete or anonymize them.
You are responsible for downloading and preserving final documents and evidence files that you may need for your own legal, tax, regulatory, or commercial purposes.
Fees, Billing, Taxes, and Refunds
Plain-language summary: Fees are mostly upfront and mostly non-refundable.
Fees, billing cycles, and usage rules are as stated on the website, product page, or signed order form. Unless expressly stated otherwise, all fees are payable in advance, non-cancellable, and non-refundable.
All fees are exclusive of taxes, duties, levies, bank charges, and similar governmental charges. You must pay all such charges except taxes on EZExecute's net income. EZExecute may suspend Services for non-payment. Any billing objection must be raised in writing within thirty days of the invoice date, failing which the invoice is deemed accepted except for manifest error.
Intellectual Property
Plain-language summary: EZExecute owns the platform; you keep your document rights but license EZExecute to run the service.
EZExecute and its licensors own all right, title, and interest in the Services, including software, workflows, interfaces, APIs, templates supplied by EZExecute, analytics, branding, and related intellectual property.
You retain any rights you have in your own documents and content. You grant EZExecute a non-exclusive, worldwide, royalty-free right during the term and any reasonable transition period to host, process, store, transmit, copy, convert, back up, and display your content solely to provide, secure, support, improve, and lawfully operate the Services.
Any feedback, suggestions, or feature requests may be used by EZExecute without restriction or compensation.
User Obligations and Prohibited Uses
Plain-language summary: Illegal, deceptive, infringing, and security-breaking use is prohibited.
You must not use EZExecute to:
- violate applicable law;
- impersonate any person or misstate authority;
- upload illegal, infringing, defamatory, obscene, fraudulent, or privacy-invasive content;
- reverse engineer, scrape, benchmark, or build competing products from the Services;
- introduce malware or interfere with platform security;
- create deceptive, sham, or backdated execution records; or
- falsify audit trails, identity checks, or workflow evidence.
Third-Party Services
Plain-language summary: EZExecute may use vendors and change them over time.
EZExecute may use third parties for hosting, storage, communications, identity verification, fraud detection, certificate or signature services, analytics, support, and payment processing. EZExecute may add, replace, or remove such providers in its discretion. EZExecute is not responsible for the independent acts or omissions of third-party providers except where liability cannot lawfully be excluded.
Suspension and Termination
Plain-language summary: EZExecute can suspend quickly if there is risk.
EZExecute may suspend, restrict, or terminate your access immediately if it reasonably believes that you have breached these Terms, failed to pay fees, created regulatory or litigation risk, compromised security, or used the Services unlawfully.
Upon termination, your right to use the Services ends immediately. EZExecute may delete or anonymize data in accordance with its retention practices, subject to legal holds, backup cycles, unresolved disputes, fraud investigations, and applicable law.
Disclaimers

The Services are provided on an as-is and as-available basis. To the maximum extent permitted by law, EZExecute disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, non-infringement, title, availability, and uninterrupted performance.
Nothing on EZExecute constitutes legal advice. EZExecute does not promise that any document, workflow, or signature method will satisfy the legal requirements of every court, regulator, or jurisdiction.
Limitation of Liability
Plain-language summary: EZExecute's exposure is capped and excludes indirect loss.
To the maximum extent permitted by law, EZExecute will not be liable for indirect, incidental, punitive, exemplary, special, or consequential damages, or for loss of profits, revenue, goodwill, opportunity, anticipated savings, or data.
To the maximum extent permitted by law, EZExecute's aggregate liability arising out of or relating to the Services or these Terms will not exceed the fees actually paid by you for the relevant Service during the twelve months before the first event giving rise to the claim, or INR 50,000, whichever is lower. For free or trial Services, the cap is INR 5,000.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud or wilful misconduct where exclusion is prohibited.
Indemnity
Plain-language summary: If your content or workflow causes claims, you protect EZExecute.
You will defend, indemnify, and hold harmless EZExecute, its affiliates, and their personnel from and against all claims, proceedings, actions, losses, liabilities, damages, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your documents, content, or workflows;
- your breach of these Terms;
- your violation of law;
- your failure to obtain authority, consent, or lawful basis;
- disputes between you and any signer, counterparty, customer, witness, or regulator; or
- any allegation that your content or use infringes rights or laws.
Governing Law and Dispute Resolution
Plain-language summary: India law governs, with New Delhi arbitration and Delhi courts for interim relief.
These Terms are governed by the laws of India. Before arbitration, the parties will attempt good-faith resolution for thirty days after written notice of dispute.
If the dispute is not resolved, it will be finally resolved by arbitration seated in New Delhi, in English, by a sole arbitrator appointed by mutual agreement, failing which in accordance with the rules of the Delhi International Arbitration Centre in force at the relevant time.
Either party may seek interim or injunctive relief from courts in New Delhi. Those courts have exclusive jurisdiction over such interim relief and over non-arbitrable matters.
General
Plain-language summary: EZExecute may assign these Terms; the rest is standard housekeeping.
EZExecute may assign these Terms in connection with a merger, financing, reorganization, or sale of assets. You may not assign these Terms without EZExecute's prior written consent.
If any clause is invalid, the remaining clauses continue. Failure to enforce a clause is not a waiver. These Terms, together with incorporated policies and signed order forms, form the entire agreement regarding the Services.
